NEW YORK - Space Ghost, meet Spider-Man. Privately-held NBC Turner has reached a deal to acquire Marvel Entertainment (NYSE: MVL) for $3.4 billion, combining Marvel's iconic, 5000+ character portfolio, which includes Spider-Man, Captain America and Wolverine, with those of Hanna-Barbera and Cartoon Network.
The all-cash deal values Marvel at $40 a share, a 27% premium over Marvel's closing price on Monday. The deal comes at an interesting time for both NBC Turner and Marvel, as NBC Turner's co-CEO and partial namesake Ted Turner plans to retire at the end of the year, having already sold his half of the company to his co-CEO Aaron Drake, and Sony Pictures's Spider-Man 3, the latest entry in the blockbuster Spider-Man franchise, is slated to open on Friday. Marvel's own CEO, Isaac Perlmutter, will stay on board.
NBC Turner's deal for Marvel will also cast a shadow over 20th Century Fox's Fantastic Four: Rise of the Silver Surfer, slated for a June 15 release. For Sony and Fox, their licensed Marvel characters are now on borrowed time.
NBC Turner's motivation to acquire Marvel was primarily to ensure that the upcoming Marvel Studios films, like next year's Iron Man, stay within the fold. Marvel recently struck a deal with Universal to distribute their movies worldwide, and Marvel characters already appear at Universal's theme parks.
"We thought it made sense to own the films, and the characters they center on, outright," said Drake. "We are aware that several of Marvel's most well-known characters, such as Spider-Man, the X-Men, and the Fantastic Four, are not available for Marvel to produce movies centering on them, but these rights will return to Marvel in time."
Another reason for the deal is Marvel's independence proving to be a liability when it comes to producing television cartoons and other content featuring its characters and guaranteeing airtime for them. NBC Turner owns platforms such as Cartoon Network and Sci Fi, which are geared towards audiences that find Marvel's characters appealing.
