Pow! ABC to Buy Marvel for $8 Billion

BURBANK, DENVER - ABC Inc has shocked Hollywood, buying powerhouse comic book empire Marvel Entertainment from the Walt Disney Company for $8 billion - twice what Disney paid for it six years ago. ABC and its movie unit Columbia Pictures get the rights to characters like Spider-Man, the Hulk, Iron Man and Captain America in the deal.
Marvel Studios, now synonymous with Marvel as a whole, is fresh off the blockbuster Ant-Man. Though disappointing by Marvel's standards, it is the kind of tentpole feature the competition would kill for. Why Disney would sell off its white-hot hit factory, the home of the Avengers, Iron Man, Captain America, and Guardians of the Galaxy is not clear - though ABC's ownership of Columbia Pictures may have played a role. Top executives at the studio and ABC's Overseer Anonus Utilis were unwilling to cede any part of the film rights to Spider-Man, Marvel's most iconic character and one of Columbia's few reliable franchises, and Marvel Studios honcho Kevin Feige and Marvel Entertainment boss Ike Perlmutter were reportedly so agitated at this stalemate that they presented Disney chief Robert Iger with a simple demand: sell Marvel to ABC, or the two walk. The loss of Feige apparently outweighed giving up the entire Marvel portfolio for Disney.
Given Perlmutter's sizable holdings in Disney, the structure of the sale favors him. Disney will spin Marvel back off to its shareholders - who will receive 0.25 shares in Marvel for each Disney share they own. Marvel will immediately be folded into privately-held ABC, which will pay $18.95 for each fourth-share in Marvel.
Though Marvel Studios will be reunited with the publisher's de facto mascot, Marvel's incoming owners are still awaiting the reversion of key properties in the X-Men and the Fantastic Four. Those franchises are stationed at 20th Century Fox, who has no apparent intention of coughing them up anytime soon, despite the massive failure of the latter's recent film adaptation.
"Something about great branded characters and millions of fans and please leave me alone I can only spout so much corporate-speak," said Utilis. "We've had a great run with Marvel, but now is the time to hand it off to a new steward," said Iger, who then muttered something unintelligible.
